Proposed Special Resolution

The members of the Western Australian Information Technology and Telecommunications Alliance Incorporated (WAITTA) are to consider, and if thought fit, pass with or without amendment, the following special resolution, as required under clause 14.45(b) of the current Constitution and section 30(1) of the Associations Incorporation Act 2015 (WA) (the Act):

Special Resolution:

The revised Constitution of WAITTA annexed to the notice and marked ‘Annexure A’ (New Constitution) as required under section 33(2) of the Act, the members of WAITTA hereby:

(a) adopt, and replace the current Constitution of WAITTA with the New Constitution as the rules of WAITTA;

(b) agree that the New Constitution are compliant under the Act; and

(c) subject to the passing of the resolution set out in (a) and (b) above, and further subject to any directions and conditions from the Commissioner (as defined in the Act), on and from the date on which the Commissioner approves and gives its written consent to the adoption of the New Constitution, the New Constitution is adopted, binding WAITTA and each member of WAITTA, and the current Constitution will cease to apply and is terminated.

What has changed in the Constitution?

The current Constitution clause 1.6 states that WAITTA’s financial year will be the period of 12 months commencing on 1 July and ending on 30 June of the following year.

The new Constitution proposes to change the financial year to align with the calendar year, being the period of 12 months commencing on 1 January and ending on 31 December of each year.

Why the change?

WAITTA’s programs, being Game Changer Awards, INCITE Awards and putt4dough, are annual events with revenue and expenses spanning throughout the calendar year. Reporting in accordance with the financial year is not reflective of the performance of the programs. In amending WAITTA’s financial year to align with the calendar year, will facilitate the improved and meaningful financial performance reporting for each program during the 12-month period revenue and expenses are incurred.

Ordinary Members are invited to appoint an individual who is an Ordinary Member as a proxy for the meeting (as per under rule 14.23). Please complete the AGM Proxy Form to register your proxy, which must be received by 13/11/2023 5pm (AWST).
